Scenario John, Steve, and Peter are the Directors of Wellbeing Ltd, which was successfully incorporated some years ago. Between them, they hold all the issued shares, with Peter holding 40 per cent and the remaining 60 per cent held equally between John and Steve. The company adopted the Model Articles for Private Companies. The company has expanded its business in manufacturing homoeopathic medication to include innovative and eco-friendly packaging. Following Peter’s advice, they established a wholly-owned subsidiary company, Goldstar Packaging Ltd, responsible for the manufacturing and selling of the new packaging. Having a special interest in health and safety issues, John has taken on responsibility for all health and safety issues within Wellbeing and Goldstar. However, a recent visit to Goldstar Packaging raised serious concerns about the safety of the manufacturing processes Goldstar had instigated, and she, therefore, prepared a detailed report which she presented to her fellow directors. In the report, John strongly recommended an urgent investigation into the manufacturing process to redesign the current manufacturing processes and procedures. Unfortunately, due to the potential cost involved, her fellow directors failed to action her report. Some months later, it was with great sadness that John was informed that a number of the production workers at Goldstar Ltd had been severely injured due to the unsafe manufacturing processes there. Wellbeing Ltd has now received communication from a top firm of London solicitors advising Wellbeing that they will be taking legal action against the company for compensation to all the injured production workers. Although Peter believes it will be Goldstar Packaging who will be legally liable for any payments, he considered it necessary to put some additional finances in place. He approached Hannah, a successful entrepreneur and client, whom had previously advanced an unsecured loan of £120,000 to Wellbeing Ltd. Hannah agreed to increase the loan to £230,000 but has told Peter that she feels that she should secure the loan for the £110,000. However, she is unsure whether to take out a fixed or a floating charge, so that she will be taking legal advice on this, and her decision will inevitably affect the company. Steve has become increasingly concerned about the company’s financial position; if Peter is wrong, Goldstar Packaging will be legally responsible for the substantial personal injury claims. Steve is now insisting that John must repay the loan of £80,000 that the Company made to her last year to purchase a new home. He believes that the company failed to follow the correct legal procedures. Peter and John both dispute this.
